Election and terms of office of board members
The Annual General Meeting elects a minimum of five and a maximum of seven Directors for a term of one year. A person who has reached the age of 66 at the time of election may not become a member of the Board of Directors. Terms of office are not otherwise restricted. The Board of Directors elects from among its number a Chairman and a Vice Chairman.
The Board’s Nomination Committee prepares a proposal on the members of the Board. The composition of the Board must be in line with the company’s size, market position and industry, and the Directors must have the requisite expertise concerning Amer Sports’ line of business and international operations.

All the members are non-executive expert members who are not employed by the company (independent and not affiliated with Amer Sports Corporation. "Independence” = no material relationship with Amer Sports Corporation other than as director).
Vice President of Legal Affairs acted as secretary to the Board.
The Board of Directors meets once a month as a rule. In 2007, the Board of Directors convened twelve times. While most meetings of the Board were held at Amer Sports headquarters in Helsinki, some meetings were arranged elsewhere in connection with visits by the Directors to familiarize themselves with the operations of Amer Sports. The attendance rate of Directors at meetings of the Board was 97.6% in 2007.
