Amer Group Plc's Annual General Meeting resolutions

The AGM today received and adopted the Report of the Directors and
the Financial Statements for the year ended 31st December 1997,
together with the Report of the Auditors. The AGM granted the
members of the Board of Directors, the members of the Supervisory
Board, and the Company President discharge from liability. In addition,
the Board's proposal that no dividend be distributed for the
1997 financial year was approved as was the proposal to issue
warrants to Amer's key personnel.
