The public prosecutor has decided to raise charges against Amer
Group Plc's Board of Directors due to the Financial Supervision
Authority's investigation request made in December 1996. The Group's
Board members Tauno Huhtala, Pekka Kainulainen, Olle Koskinen,
Timo Maasilta and the then members Timo Peltola and Raimo
Taivalkoski are charged with a Securities Markets offence. The case
will be tried at the City Court of Helsinki in May-June.

The Board of Directors are charged as failing to issue a profit warning
until 6 June 1996, the publication date of the first interim report, rather
than after the Board meeting on 25 April 1996. The disciplinary
committee of the Helsinki Stock Exchange has already issued a
statement and imposed a penalty on the Company in September 1996,
with regard to the same matter.
